[B] Scope of Service:

(1) Vendor needs to provide tax counsel services for approves financing plans for bond issues and
interest rate exchange agreements of state agencies and instrumentalities, universities and local
governments; publishes studies, reports and policies relating to fiscal matters to the government authority located in Santa Fe, NM.
- Collaborate with other members of the financing team to structure bond issues in a manner that minimizes the department transactions cost and its credit risk in the transaction and review issues relating to bonds.
- Assist in the preparation of project questionnaires, resolutions, and certification forms, flagging any issues related to the tax-exempt status of securities for board counsel; advise on, and assist with the preparation of, when necessary, the questionnaires, project lists, financing timetables, bond authorizations and sales resolutions, proceedings, transcripts, and minutes required to be made by the department relating to all prospective issuance of tax-exempt or taxable securities of the state of new Mexico.
- Assist in presenting information relating to the tax-exempt status of bonds to bond rating agencies and providers of credit enhancement to the extent required or requested.
- Advise in the preparation of the notice of sale relating to all prospective issuance of securities of the state of New Mexico issued by the department and assure that such terms are in the best interest of the state, in consultation with the financial adviser, bond counsel, and disclosure counsel.
- When requested, prepare and deliver to the department the contractors’ opinions relating to the federal and state income tax treatment of interest on bonds; the applicability of provisions of federal and state securities laws; the applicability of tax law provisions governing estate and give taxation; eligibility of the bonds for investment by various fiduciaries and other regulated investors; exemption of the resolution and indenture from qualification under the trust indenture act of 1939, as amended; and the status of the bond and related obligations under the united states bankruptcy code.
- Assist the department financial advisor, disclosure counsel, bond counsel, and the department in the preparation of a preliminary official statement to be adopted by the department at the time any notice of bond sale or sale resolution is to be considered relating to the prospective issuance of securities of the state of New Mexico.
- Advise the department regarding continuing disclosure requirements, if applicable, under federal and state securities law in connection with the issuance of debt.
- Provide continuing advice to the department concerning any actions necessary to assure the interest paid on bonds issued by the state of New Mexico will continue to be excluded from gross income for federal purposes.
- When requested, respond to internal revenue service audits or securities and exchange commission investigations.
- Assist the department counsel, if requested, in any litigation relating to or in any way affecting the issuance, sale, execution and delivery of department bonds, notes or certificates.
- Upon request of the department and in the event a separately procured department disclosure counsel contractor is unable to perform or department determines that it is necessary for bond counsel to provide disclosure counsel services, the contractors, if able to perform, may be called upon to provide services related to bond matters generally including services typically performed by a firm serving as disclosure counsel.
- Upon request of the department, and in the event a separately procured department tax counsel contractor is unable to perform or department determines that it is necessary for bond counsel to provide tax counsel services, the contractors, if able to perform, may be called upon to provide services related to bond matters generally including services typically performed by a firm serving as tax counsel.
- Upon request of the department, provide transaction review services of financings by other
public entities that require department approval.
- Provide any other services typically performed by a firm serving as tax counsel.
(2) All the questions must be submitted no later than November 8, 2019
(3) The contract period will be for four year.
